(“Ameri Metro 2010"), a Delaware corporation, merged with Yellowwood Acquisition Corporation. 3.02 The Company has issued the following securities in the last three (3) years. 4.01 In June, 2012, pursuant to merger of Yellowwood Acquisition Corporation with Ameri Metro, Inc., the Board of Directors of the Company determined to dismiss the certifying accountants of Yellowwood Acquisition Corporation and to continue with the retention of the certifying accountants of Ameri Metro, Inc.
